Acceptance of Terms
Ruffus is a digital loyalty platform for local businesses, operated by Boucle Technologies Inc. ("Ruffus", "we", "us"). By creating an account, accessing, or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use Ruffus.
Accounts and Eligibility
You must be at least 18 years old and authorized to bind your business to open a merchant account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at hello@ruffus.app if you suspect unauthorized access. We may suspend or terminate accounts that provide false or misleading registration information.
Loyalty Program
Stamps, points, and rewards issued through Ruffus have no cash value and cannot be exchanged, transferred, sold, or redeemed for money. Merchants control their own program rules — stamp thresholds, rewards, expiry, and promotions — and may modify them at any time; changes take effect immediately for all customers, including stamps or points already in progress. Ruffus is not a party to the relationship between a merchant and its customers and is not responsible for a merchant's fulfillment of rewards.
Merchant Responsibilities
Merchants are solely responsible for the accuracy of their program content, including reward descriptions and promotional claims, for complying with consumer protection, advertising, tax, and privacy laws in the jurisdictions where they operate, and for honoring rewards earned by their customers. Ruffus provides the platform; it does not review or endorse individual merchant programs.
Acceptable Use
You may not use Ruffus to violate any law or regulation, infringe another party's intellectual property or privacy rights, transmit spam or malware, attempt to gain unauthorized access to our systems or another account, scrape or reverse-engineer the service, resell the service without our written consent, or discriminate against customers on any legally protected basis. We may suspend accounts that violate this section without notice.
Payments, Billing & Cancellation
Ruffus offers a 14-day free trial. No card is required to start, and your trial clock begins at your first real stamp rather than at signup, so a program that is set up but not yet in use does not consume trial days. A payment method on file is required before we ship your NFC station cards; that card is held as a deposit instrument for the fees described in the NFC Station Cards section and is never charged for a subscription. If your trial ends without a plan selected, we never auto-charge — stamping and redemption pause until you choose a plan and add a payment method. An account that records no stamp within 90 days of signup may be closed; we email you before that happens. Paid subscriptions are billed in advance on a recurring basis, monthly or annual as selected, through our payment processor; subscribing authorizes recurring charges to your payment method. You may cancel or downgrade your plan at any time from the Billing page in your dashboard; your account remains active until the end of the current billing period, then is disabled, and your data is retained for 30 days before permanent deletion. We do not refund partial billing periods except where required by law.
Seasonal Pause
If your business closes for part of the year, you may pause your subscription instead of cancelling it. A pause may be started once every 12 months and runs for up to 4 consecutive months; it lifts automatically at the end of that period, and you may resume earlier at any time from the Billing page. While paused, billing stops and no invoice is raised for the paused period, and your loyalty program is suspended along with it: customers cannot join, collect stamps or redeem rewards until you resume. Your members, stamps, cards and history are retained throughout, and you keep your NFC station cards — a pause opens no return window. A pause neither extends nor restarts your free trial.
NFC Station Cards
Ruffus provides NFC station cards as loaned hardware, not merchandise for sale: title to these cards remains with Ruffus at all times, whether your account is active, on a seasonal pause, or closed. If your subscription is cancelled or your account is closed, you must return any NFC cards you hold within 30 days, using a prepaid return label we provide at no cost to you; we send reminder emails during that window. The same 30-day window, prepaid label and reminders apply if you move to a plan with fewer stores: you return the cards for the store you dropped and keep the cards at the stores you keep. That window opens when the plan change takes effect — at the end of your current billing period if you are on a paid plan, immediately if you are still in your free trial. A card not returned within the 30-day window is charged a $20 CAD fee, taken from the payment method on file in multiple attempts over the following days if the first attempt fails; if we are unable to collect after those attempts, the charge is written off. The same $20 CAD per-card fee applies to a card that is damaged, lost, or that you request as a replacement, regardless of your account status. If your account is on a seasonal pause rather than cancelled, you keep your NFC cards — no return window opens for a pause. If your free trial ends without a plan selected, we never auto-charge for a subscription; your account pauses instead, and the payment method on file is only ever charged the fees described in this section.
Intellectual Property
Ruffus and its content, features, branding, and functionality are owned by Boucle Technologies Inc. and protected by copyright, trademark, and other intellectual property laws. You retain ownership of the content you upload — your business name, logo, reward descriptions, and the customer data you control — and grant us a limited license to host, display, and process that content solely to provide the service to you.
Mobile Phone Numbers & SMS Consent
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with or sold to any third parties or affiliates for marketing purposes. If you have opted in to receive SMS messages from Ruffus, your phone number and opt-in consent will strictly be used to deliver transactional updates, security codes, and promotional messages you explicitly requested.
Third-Party Services
Ruffus integrates with third-party services, including payment processing, email and messaging delivery, and, for eligible merchants, e-commerce platforms such as Shopify. Your use of those integrations is also subject to the applicable third party's own terms. We are not responsible for the acts, omissions, or availability of third-party services.
Disclaimer of Warranties
Ruffus is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the maximum extent permitted by law, Boucle Technologies Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of Ruffus. Our total liability for any claim arising from these terms will not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold Boucle Technologies Inc. harmless from any claims, damages, or expenses, including reasonable legal fees, arising from your use of Ruffus, your violation of these terms, or your violation of any law or third-party right.
Termination
You may delete your account at any time — customers from the account page in the customer portal, and merchants by contacting privacy@ruffus.app. We may suspend or terminate your access to Ruffus if you violate these terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the service ends immediately; data retention follows the schedule described in the Payments, Billing & Cancellation section.
Changes to These Terms
We may update these terms from time to time. If we make material changes, we will notify merchants by email or through the dashboard before the changes take effect. Continued use of Ruffus after changes take effect constitutes acceptance of the updated terms.
Governing Law & Disputes
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the courts of the Province of Québec.
General Provisions
These terms, together with our Privacy Policy, form the entire agreement between you and Ruffus and supersede any prior agreements on this subject. If any provision is found unenforceable, the remaining provisions remain in full effect. You may not assign your account or these terms without our written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
